We analyzed an acquisition opportunity involving a B2B agency that provides physical services for trade shows across the US. Since the work is performed by contractors, the business operates similarly to a lead generation service. It is important to note that while the business can be managed remotely, a physical presence in the US is likely required. This is necessary to manage a small inventory of technical equipment for the services provided. Significant growth opportunities exist. These include securing direct, multi-year deals with conferences, adding paid advertising to the marketing mix, and introducing newer technologies. Overall, this business has substantial potential for growth.

2️⃣ <1M Range – Content Syndication Site Earning $13,875

3 years old — $720,489 asking price

We analyzed this business because our client initially perceived it as a simple investment. However, our analysis uncovered a series of red flags, leading us to ultimately recommend passing on this deal. The primary concern is the revenue model. The business generates income solely from content syndication networks (like LexisNexis and Dow Jones) and guest posts. While its organic traffic is currently stable, this high-risk dependency means revenue could disappear overnight. Secondly, the P&L statement was inconclusive and poorly documented. Disorganized financial records are a major concern, as they signal that significant problems would likely arise during in-depth financial due diligence. While we identified other issues, these two fundamental risks were significant red flags, especially for a business valued in the high six-figures.

3️⃣ >1M Range – Entertainment News Content Business Earning $70,093/mo

10 years old — $2,733,500 asking price

This is a large, well-known entertainment blog that attracts high traffic numbers. The business model is straightforward, generating revenue through Mediavine and Facebook Content Monetization. The purchase includes two large Facebook pages. The key to sustaining this business is publishing at least 1,000 articles annually. For this reason, we strongly advise our client to retain the current content team at all costs. While you cannot force contractors to stay, we recommend requesting an interview with at least the lead contractor. Retaining key personnel for a minimum of 3-6 months is crucial, even for a seemingly simple business like this. Given the company’s strong year-over-year growth, negotiating a lower price will be challenging. Therefore, arranging a purchase agreement with the seller included is a logical next step during negotiations.

The current owner has not updated the site in months. This neglect presents numerous growth opportunities for a new owner.
